What is a conflict?
An actual, potential, or perceived conflict arises when a personal interest, relationship, or benefit affects decision independence or reasonably appears to do so.
Disclosure
A person discloses before joining a decision, purchase, hire, contract, or evaluation involving a connected party. Disclosure is updated when circumstances change and periodically confirmed for required roles.
Review
An authorized reviewer assesses facts, impact, and options without exposing unnecessary personal details. The conflicted person does not decide alone whether mitigation is sufficient.
Mitigation
Mitigation may include disclosure to participants, recusal, task reassignment, independent review, bid comparison, or prohibiting the relationship. Plan, duration, reviewer, and compliance are recorded.
Gifts and hospitality
A benefit intended to influence or offered during a sensitive decision is not accepted. Approved internal policy defines limits and exceptions. Gifts above the disclosure threshold are recorded even if declined.
Confidentiality and non-retaliation
The disclosure register is restricted and purpose-limited. Good-faith disclosure is protected, while concealing a material conflict or providing false information may be investigated.
